10. THIRD-PARTY SERVICES.

You acknowledge that by permitting such services to be offered through the MLSLI websites, MLSLI is acting as a passive conduit for the transmission to such third parties of any information related to such services that you submit to MLSTechs.com. In order for MLSLI to distribute your information and facilitate contacts between you and such third parties, you hereby grant MLSLI permission to disclose any and all of the information that you provide to MLSLI to any such third party that MLSLI, in its sole discretion, deems relevant and appropriate.
Any information that you provide to MLSLI must be true, complete, and accurate, must not represent you as someone else or falsely identify you, and must not violate any law, statute, ordinance or regulation. You are solely responsible for such information and for all of the terms and conditions of transactions between you and such third parties, including, without limitation, terms regarding warranties, insurance, fees, taxes, titles and licenses. You must not submit a request for a third party service through the MLSLI websites unless you intend, in good faith, to contract with such third party for the use of such service.
MLSLI is not and will not be responsible for (i) the terms and conditions of any transaction between you and any third party, (ii) any insufficiency of or problems with any such third party’s background, insurance, credit or licensing, or (iii) the quality of services performed by any such third party or any other legal liability arising out of or related to the performance of such services. In the event that you have a dispute with any such third party, you release MLSLI from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
11. ADVERTISERS.
Advertisement banners and other forms of advertising exist on the Site. However, MLSLI is not responsible for the claims or representations made by any advertiser on the Site nor is MLSLI responsible for the products and services of advertisers on the Site. Furthermore, mere presence of an advertiser on the Site does not constitute an endorsement, approval, or sponsorship of any advertiser by MLSLI in any respect unless expressly indicated otherwise.
12. MODIFICATION OF AGREEMENT.
MLSLI reserves the right, in its sole discretion, to modify, add or remove portions of these Terms of Use at any time without notice or liability, and such modification shall become effective upon posting on the Site. Your use of the Site following any such modification shall be conclusively deemed to be your acceptance of such modification.
13. SUSPENSION OR TERMINATION OF ACCESS.
MLSLI reserves the right, in its sole discretion, to suspend or terminate a User’s access to the Site for any reason, including but not limited to, a User’s breach of this Agreement. MLSLI may change, suspend or discontinue any aspect of the services provided at the Site at any time without notice or liability, including the availability of any feature, blog, database or content.
14. INDEMNIFICATION.
User agrees to defend, indemnify and hold harmless MLSLI from all actions, liabilities, losses, claims, damages, costs, and expenses including but not limited to reasonable attorney’s fees, resulting from the User’s violation of any term of this Agreement or alleged illegal use of this Site.
15. LANGUAGE TRANSLATION DISCLAIMER
The official language for the content of the Multiple Listing Service of Long Island, Inc.’s (MLSLI) website, www.MLSTechs.com, is English. A translation service provided by Immobil is available through links provided that offer immediate translation of some of our webpage content using Immobil’s software. Computerized translations are only an approximation of the website’s original content. The translation should not be considered exact and in some cases may include incorrect or offensive language. MLSLI does not warrant the accuracy, reliability, or timeliness of any information translated by this system and shall not be liable for any losses caused by such reliance on the accuracy, reliability, or timeliness of such information. 16. GENERAL TERMS.
This Agreement is governed by the laws of the State of New York, U.S.A. You hereby consent to the exclusive jurisdiction and venue of courts sitting in New York, County of Suffolk and/or Eastern District of New York in all disputes arising out of or relating to the use of the MLSLI websites. Use of the MLSLI websites is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and MLSLI as a result of this Agreement, or the use of the MLSLI websites. MLSLI’s performance of this Agreement is subject to existing laws and legal process, and nothing contained in this Agreement is in derogation of MLSLI’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the MLSLI websites or information provided to or gathered by MLSLI with respect to such use. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect. Unless otherwise specified herein, this Agreement constitutes the entire agreement between you and MLSLI with respect to the MLSLI websites and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and MLSLI with respect to the MLSLI websites. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
